ARTICLE 1: The Agreement between Validu and Persons accessing the Technology

1.01 Incorporation by reference.  Please read this Privacy Policy carefully, because they are a binding agreement between you and Validu.   This Privacy Policy incorporates the Definitions set forth in Attachment A, the General Provisions of Attachment B, and the Liability Limitations of Attachment C.  All Visitors to the Website are subject to the Privacy Policy.

1.02 Binding precondition.  This Privacy Policy governs how your Data can be used and accessed by Validu, and potentially other third parties.  Use of the Technology by you constitutes your acceptance to the terms and conditions of this Privacy Policy.  If you do not agree that Data submitted to or utilized by the Technology may be used by Validu and potentially third parties as constrained by the Privacy Policy, then you should not use or access the Technology in any way.  If you do not agree to be bound by the terms of this Privacy Policy, you should not access the Website, the App, or any other embodiments or instantiations of the Technology

ARTICLE 2: General Approach.

2.01 “Opt In” Basis.  The general approach of Validu is to only obtain personally identifiable information on an "opt in" basis, and to utilize Data for the purpose of enabling the functionality of the Technology as made accessible to Licensees.  Validu acknowledges that Hosts and Attendees may be less willing to participate in the functionality of the Technology if certain types of Data are subject to being shared with third parties.

2.02 Core purpose of the Validu Technology involves use of Event Information.  The purpose of the Technology is to assist Customers such as Subscribers and Patrons in monitoring the Event Information for Events in which their personnel participate.  Other types of Data are used to support the delivery of that functionality to Customers.

2.03 Prohibitions.  Under NO circumstances will Validu ever modify this Privacy Policy to allow for the sharing of the following types of information with third parties (subject to a valid subpoena by a government authority):

A. Biometric Information (regardless of whether it is personally identifiable or not).

B. Account Information (regardless of whether it is personally identifiable or not).

C. Event Information that is personally identifiable unless the Person is interacting with the Technology on behalf of a Subscriber or a Patron.

ARTICLE 3: Information obtained about you and your organization.

3.01 Types of Data in addition to Event Information.  The Technology is used to monitor the attendance of Events conducted on behalf of Subscribers. The Event Information includes the identity of the Hosts and Attendees participating in the particular Event.  Other types of Data that are created, collected, and/or used by the Technology can include but are not limited to:

A. Biometric Information;

B. Contact Information;

C. Event Information;

D. Feedback; and

E. Account Information.

3.02 Use of Cookies.  Validu receives and stores certain types of information whenever you interact with the Website, an App, or other embodiment of Software. For example, like many Web sites, we use "cookies," and we obtain certain types of information when your Web browser accesses the Website or advertisements and other content served by or on behalf of the Website on other Web sites.  Disabling the cookies on your computing device may interfere with your ability to take advantage of functionality provided on the Website or a Software application.

ARTICLE 4: Use of your Data by Validu and the Technology.  Most of the Data captured or created by the Technology is used to provide the functionality of the Technology to the Customers of Validu.  Such Data will be used solely to provide the functionality of the Technology to the Licensees of Validu unless otherwise permitted in this Privacy Policy

4.01 Use of Biometric Information.  The use of Biometric Information is limited to providing the functionality of the Technology to Licensees.  Biometric Information shall NEVER be shared or utilized outside of this core purpose.  Put another way, the Technology uses Biometric Information solely for the purposes of confirming the identity of Hosts and/or Attendees participating in an Event.

4.02 Use of Contact Information.  Validu may use Contact Information to contact Licensees, Subscribers, Participants, and Visitors  regarding developments with the Technology and commercial offerings of Validu.  This Privacy Policy may be amended in the future to permit the disclosure of Contact Information to third parties.   All Visitors to the Website are encouraged to opt in to receive communications from Validu regarding present and future offerings.

4.03 Use of Event Information.  Validu may use Event Information in providing the functionality of the Technology to Licensees.  Each Customer will have at least one administrative User with the ability to access all Event Information associated with that Customer.  Such information does not include personal information relating to individual Hosts and/or Attendees of Events except as set forth below.  To the extent that the Attendees of an Event are associated with a Patron who executed a Passive Access Agreement and paid the applicable Patron Fee, the Patron can have read-only access to Event Information. Event Information to which an applicable Patron can be provided access to can include:

1. The identity of the Hosts personally participating in the Event.

2. The identity of the Subscriber hosting the Event.

3. The identity of the Attendees at the Event, who attended on behalf of the Patron or as Persons associated with the Patron, and the identity of the corresponding Patron.

4. The total number of people, including Hosts and Attendees, participating in the Event.

5. An itemized list of the expenses incurred at the Event.

6. A description of the Event in terms of date, time, and location.

4.04 Use of Feedback.  Validu may freely utilize Feedback on its Website.  Validu will not disclose personally identifiable information about the individual providing the Feedback without their expressed consent.

4.05 Use of Account Information.  Validu may use Account Information in providing the functionality of the Technology to Licensees.  This Privacy Policy may be amended in the future to permit the disclosure of Account Information to third parties so long as such information is not personally identifiable.
